Terms of Service
Effective date: March 15, 2025
These Terms of Service govern your use of the Logistify AI platform and services operated by Logistify AI Inc., a Delaware corporation.
1. Acceptance of Terms
1.1 Agreement
By accessing or using the Logistify AI platform, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.
1.2 Modifications
Logistify AI Inc. reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a revised effective date. Continued use of the Service after such changes constitutes acceptance of the updated Terms.
2. Use of the Service
2.1 Eligibility
You must be at least 18 years of age and have the legal authority to enter into contracts on behalf of yourself or your organization. The Service is intended for business use by manufacturers, distributors, and supply chain operators.
2.2 Permitted Use
You may use the Service solely for lawful business purposes in accordance with these Terms. You agree not to use the Service to transmit harmful, fraudulent, or unlawful content, or to interfere with the integrity or performance of the Service.
2.3 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Logistify AI immediately of any unauthorized use of your account.
3. AI Agent Services
3.1 Automated Processing
The Service uses artificial intelligence to process orders, documents, and communications on your behalf. While we strive for high accuracy, you acknowledge that AI-processed outputs may contain errors and should be subject to appropriate human review procedures for your business.
3.2 Data Inputs
You represent that you have the right to submit any data, documents, or communications to the Service for processing. You retain ownership of all data you submit; by submitting it, you grant Logistify AI a limited license to process it solely to provide the Service.
3.3 ERP Integrations
Where the Service integrates with third-party ERP or business systems (including QuickBooks, Unleashed, Brightpearl, Odoo, BREWW, and others), you are responsible for maintaining valid credentials and complying with those third parties' terms of service.
4. Fees and Payment
4.1 Subscription Plans
Access to the Service is provided on a subscription basis. Fees are set forth in the applicable order form or pricing page and are billed in advance. Annual subscriptions are billed annually; monthly subscriptions are billed monthly.
4.2 Taxes
All fees are exclusive of applicable taxes. You are responsible for all taxes, duties, and levies imposed by any governmental authority in connection with your use of the Service.
4.3 Refunds
Except as required by applicable law or as expressly set forth in your order, fees are non-refundable. If you believe a billing error has occurred, please contact us within 30 days of the charge.
5. Intellectual Property
5.1 Logistify AI IP
The Service and all underlying technology, software, algorithms, and content provided by Logistify AI are the exclusive property of Logistify AI Inc. and its licensors. These Terms do not grant you any rights in Logistify AI's intellectual property except the limited right to use the Service as described herein.
5.2 Your Data
You retain all ownership rights in the data, documents, and content you submit to the Service. Logistify AI will not sell or share your data with third parties except as necessary to provide the Service or as required by law.
6. Confidentiality
6.1 Mutual Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.
6.2 Exclusions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was already known to the receiving party; (c) is independently developed without use of confidential information; or (d) must be disclosed by law or court order.
7. Limitation of Liability
7.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
7.2 Limitation
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOGISTIFY AI'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL LOGISTIFY AI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
8. Governing Law and Disputes
8.1 Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles.
8.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in Delaware.
9. General
9.1 Entire Agreement
These Terms, together with any applicable order forms or subscription agreements, constitute the entire agreement between you and Logistify AI with respect to the Service and supersede all prior agreements.
9.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
